TERMS AND CONDITIONS

These Terms and Conditions apply to the recruitment services provided by Plus31 Sports LLC, a Florida limited liability company with its principal place of business at 10300 Sunset Dr, STE 456, Miami, Florida 33173, United States (“Plus31 Sports”).

PARTIES AND ACCEPTANCE

The person purchasing the services is referred to as the “Client.” The student-athlete receiving the services is referred to as the “Athlete.”

If the Athlete is under 18, the Client must be a parent or legal guardian authorized to enter into this agreement on the Athlete’s behalf. The Client is responsible for ensuring that the Athlete follows these Terms.

The agreement begins when the Client:

• accepts these Terms through the Plus31 Sports payment page;
• pays the first installment; or
• otherwise accepts a written service agreement from Plus31 Sports.

If a separate written agreement has been signed, that agreement will prevail where it expressly differs from these Terms.

RECRUITMENT SERVICES

Plus31 Sports provides personal guidance to student-athletes seeking opportunities to study and compete at a college or university in the United States.

Depending on the Athlete’s situation, the services may include:

• assessment of the Athlete’s athletic and academic background;
• development of a personalized recruitment strategy;
• creation of an online player profile;
• editing of a highlight video using footage supplied by the Athlete;
• preparation for communication with college coaches;
• outreach and introductions to suitable college coaches;
• guidance during coach calls and scholarship discussions;
• comparison of university costs and financial packages;
• guidance with university applications;
• guidance concerning NCAA, NAIA or NJCAA eligibility;
• support with documents required for admission and enrollment;
• general guidance with the F-1 visa process;
• pre-departure preparation; and
• reasonable support and check-ins after the Athlete arrives in the United States.

The exact strategy, universities contacted and timing depend on the Athlete’s level, academic background, preferences, budget, graduation year and responsiveness.

FEES AND PAYMENT MILESTONES

The total service fee is $4,500 USD, including any applicable taxes, and is payable in three installments.

INSTALLMENT 1 – START OF THE RECRUITMENT PROCESS

Amount: $1,500 USD

The first installment is payable when the Client accepts these Terms and starts the recruitment process.

This installment covers the initial assessment, strategy, onboarding, profile development, highlight-video preparation and the commencement of recruitment activities.

INSTALLMENT 2 – VERBAL COMMITMENT

Amount: $1,500 USD

The second installment becomes due when the Athlete verbally or in writing commits to attend and/or compete for a U.S. college or university.

A verbal commitment occurs when the Athlete or Client communicates acceptance of an offer or confirms the intention to attend a university to a coach, university representative or Plus31 Sports. A signed scholarship agreement, admission decision or public announcement is not required for this milestone to be reached.

This installment relates to coach outreach, introductions, call preparation, offer comparison, scholarship discussions and the work performed in reaching a commitment.

INSTALLMENT 3 – I-20 ISSUANCE

Amount: $1,500 USD

The third installment becomes due when the university issues or provides the Athlete with Form I-20 following admission.

This installment relates to admission, eligibility, enrollment, visa preparation, pre-departure guidance and support connected with the Athlete’s transition to the United States.

If the Athlete does not require an I-20, the final installment becomes due upon formal admission and completion of the equivalent final enrollment documentation.

The payment schedule is based on recruitment milestones and is not an hourly billing arrangement. Once a milestone has been reached, the corresponding installment is due even if the Athlete later changes plans, subject to any mandatory rights under applicable law.

PAYMENT

Online payments are due at the time shown on the payment page. Invoices are due within 14 days unless another deadline is stated in writing.

Plus31 Sports may pause its services if an installment remains unpaid after its due date.

Any reasonable collection costs, chargeback costs or bank fees caused by an unjustified reversed payment may be charged to the Client to the extent permitted by law.

THIRD-PARTY COSTS

The Plus31 Sports service fee does not include fees charged by universities, government bodies, testing organizations or other third parties.

These may include:

• English-language tests such as Duolingo, TOEFL or IELTS;
• SAT or ACT examinations;
• transcript translations or credential evaluations;
• NCAA, NAIA or NJCAA registration;
• university application and enrollment fees;
• official transcript delivery;
• visa application and appointment fees;
• the SEVIS I-901 fee;
• passport, travel and courier costs;
• health, travel or athletic insurance;
• flights and local transportation; and
• tuition, housing, meals, books and other university costs.

Third-party prices and refund policies are controlled by the relevant third party and may change without notice.

CLIENT AND ATHLETE RESPONSIBILITIES

The Client and Athlete agree to:

• provide complete, accurate and truthful athletic, academic, financial and personal information;
• disclose previous school attendance, recruiting activity, eligibility concerns, injuries and disciplinary matters when relevant;
• provide usable video footage and required documents on time;
• respond promptly to Plus31 Sports, coaches and universities;
• inform Plus31 Sports about direct contact, offers and commitments involving college coaches;
• personally review all official admission, scholarship and financial-aid documents;
• meet university, eligibility, immigration and application deadlines;
• maintain the academic, athletic and behavioral standards required by the relevant organizations;
• obtain the insurance required for studying and competing in the United States; and
• comply with applicable laws and NCAA, NAIA, NJCAA, university and conference rules.

Plus31 Sports may rely on the information supplied by the Client and Athlete. Delays or consequences caused by incomplete, inaccurate or late information are the responsibility of the Client and Athlete.

UNIVERSITY AND FINANCIAL DECISIONS

The final decision to communicate with, visit, commit to or attend a university always belongs to the Athlete and Client.

Plus31 Sports can help compare offers but does not control:

• admission decisions;
• scholarship amounts;
• the continuation or renewal of a scholarship;
• tuition or university cost increases;
• roster decisions;
• coaching changes;
• playing time;
• team selection;
• academic results;
• housing assignments; or
• visa and immigration decisions.

Verbal offers and verbal commitments are generally not binding on a university. The Client and Athlete must verify the final terms through official university documentation before making financial or enrollment decisions.

NO GUARANTEED RESULT

Plus31 Sports provides recruitment guidance and uses reasonable professional efforts but does not guarantee:

• admission to a particular university;
• receipt of an athletic or academic scholarship;
• a minimum scholarship amount;
• a particular annual family contribution;
• placement on a college team;
• eligibility approval;
• issuance of an I-20 or student visa;
• playing time or roster status; or
• continued enrollment or scholarship renewal.

The absence of a particular result does not by itself mean that Plus31 Sports failed to provide the agreed services.

CANCELLATION BY THE CLIENT

The Client may end the agreement by providing written notice to Plus31 Sports.

Except where mandatory law provides otherwise:

• installments connected to milestones already reached remain due;
• properly earned and paid installments are not refundable;
• installments for future milestones that have not been reached will not be charged; and
• third-party costs already incurred remain the Client’s responsibility.

If applicable law gives the Client additional cancellation, withdrawal or refund rights, those rights will continue to apply.

SUSPENSION OR TERMINATION BY PLUS31 SPORTS

Plus31 Sports may suspend or terminate the agreement if the Client or Athlete:

• fails to make a required payment;
• provides materially incorrect or misleading information;
• repeatedly fails to communicate or provide required documents;
• breaches eligibility, amateurism or university rules;
• behaves abusively or unlawfully toward Plus31 Sports, coaches or partners; or
• otherwise commits a material breach of these Terms.

Where reasonably possible, Plus31 Sports will provide notice and an opportunity to correct the issue.

If Plus31 Sports ends the agreement without a breach by the Client or Athlete, Plus31 Sports will refund any clearly unearned portion of a payment already received.

SUPPORT AFTER ARRIVAL

Support after arrival consists of reasonable check-ins and general guidance relating to the Athlete’s college experience.

Plus31 Sports is not:

• an emergency service;
• a legal or immigration law firm;
• a healthcare or mental-health provider;
• a guardian or campus supervisor;
• a financial adviser; or
• responsible for the daily supervision of the Athlete.

In an emergency, the Athlete must contact local emergency services, university security, the university’s international office, medical professionals or the appropriate campus department.

A new or extensive transfer recruitment process may require a separate written agreement.

PRIVACY AND SHARING OF INFORMATION

Plus31 Sports processes personal information in accordance with its Privacy Policy.

The Client and Athlete authorize Plus31 Sports to share relevant athletic, academic and contact information with college coaches, universities, athletic organizations, recruitment partners and service providers where reasonably necessary for the recruitment process.

Because Plus31 Sports and many universities are located in the United States, information may be processed or stored outside the Athlete’s home country.

PHOTOS, VIDEO AND PROMOTIONAL USE

The Athlete grants Plus31 Sports permission to use submitted photos, videos and information for the purpose of creating the Athlete’s profile and conducting recruitment outreach.

Use of the Athlete’s name, image, commitment or story for public marketing requires separate permission. Marketing permission is voluntary and may be withdrawn for future use without affecting the recruitment services.

INTELLECTUAL PROPERTY

The Athlete retains ownership of original photos, footage and information supplied to Plus31 Sports.

Plus31 Sports retains ownership of its templates, designs, recruitment systems, databases and original materials. The Athlete may use the completed personal profile and highlight video for personal recruitment purposes.

LIABILITY

To the fullest extent permitted by law, Plus31 Sports is not liable for losses caused by:

• decisions or actions of coaches, universities, athletic organizations or government authorities;
• changes in regulations, scholarship rules, university costs or team circumstances;
• inaccurate or incomplete information supplied by the Client or Athlete;
• missed deadlines attributable to the Client, Athlete or a third party;
• injuries, illness, academic performance or athletic performance;
• visa delays or denials;
• travel disruption; or
• events outside the reasonable control of Plus31 Sports.

Plus31 Sports will not be liable for indirect, incidental, special or consequential losses, including lost opportunities or expected scholarship value.

Where liability cannot legally be excluded, the total liability of Plus31 Sports will be limited to the service fees paid by the Client under this agreement, unless a higher amount is required by mandatory law.

Nothing in these Terms excludes liability that cannot lawfully be limited, including liability arising from fraud, intentional misconduct or gross negligence.

FORCE MAJEURE

Plus31 Sports is not responsible for delay or non-performance caused by circumstances outside its reasonable control, including regulatory changes, university closures, coach departures, natural disasters, pandemics, war, government restrictions, strikes, technology outages or travel restrictions.

Plus31 Sports will make reasonable efforts to adjust the recruitment strategy where possible.

GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of Florida, United States.

The parties will first attempt to resolve complaints or disputes through good-faith written communication.

Subject to any mandatory consumer rights, disputes will be submitted to the competent courts in Miami-Dade County, Florida.

If the Client is a consumer whose habitual residence is in a country with mandatory consumer-protection laws, this choice of law and forum does not remove protections that cannot legally be waived.

GENERAL TERMS

If any provision is found invalid or unenforceable, the remaining provisions will remain in effect.

A failure by Plus31 Sports to enforce a provision immediately does not waive its right to enforce it later.

The Client may not transfer this agreement without written approval from Plus31 Sports.

Plus31 Sports may update its website terms for future Clients. The version accepted by the Client remains applicable to the existing agreement unless a change is required by law or agreed in writing.

Electronic acceptance, checkbox confirmation and electronic payment may be used as evidence that the Client accepted these Terms.
